Articles of Incorporation

When incorporating in Virginia, articles of incorporation must be filed with the Virginia Secretary of State. Virginia law requires that certain information be included in your articles of incorporation. The following is a summary of those requirements:


  • Minimum Number of Incorporators – One or more persons
  • Eligibility Requirements – A natural person who must be at least eighteen years old
  • Duties – Delivering articles to the secretary of state for filing
  • Listing Requirements – The name and address of each incorporator must be listed

Corporate Purpose

Virginia allows a corporation to be formed for any lawful business activity, subject to state regulation over certain industries.

  • Listing Requirements – Required to be listed in the articles

Director Information

  • Minimum Number of Directors – One or more
  • Eligibility Requirements – None
  • Listing Requirements – Directors are required to be listed in the articles

Officer Information

  • Officers are not required to be listed in the articles when incorporating in Virginia

Stock Information

  • The classes of shares and the number of shares in each class the corporation is authorized to issue
  • The par value of each of the shares, or a statement that all shares are without par value
  • The articles of incorporation must authorize:
    • One or more classes of shares that together have unlimited voting rights; and
    • One or more classes of shares which may be the same class or classes as those with voting rights that together are entitled to receive the net assets of the corporation upon dissolution

Other Required Information

  • The corporate name of the corporation
  • The purpose of the corporation
  • The registered agent name and registered agent address
  • The name and address of each incorporator

Optional Provisions

Wisconsin also permits optional provisions to be integrated into the articles of incorporation for corporations who wish to formalize additional criteria, including:

  • The names and addresses of initial directors
  • The corporation’s purpose(s)
  • Regulations on the powers of the corporation, board of directors or shareholders
  • A par value for authorized shares or classes or series of shares
  • Managing the business and regulating the affairs of the corporation
