How to File an Annual Report in Rhode Island

You can file your Rhode Island LLC’s Annual Report online or by mail.

Due Date

The Rhode Island LLC Annual Report is due between September 1st and November 1st every year. Your first Annual Report is due the year after your LLC was formed.


You have until December 1st (a 30-day grace period) to file your Annual Report. Beyond that, you have to pay a penalty of $25 on top of the $50 filing fee. The penalty is compounded every year you fail to file your Annual Report.
