Nebraska LLC Annual Report

All LLCs doing business in Nebraska must file a Biennial Report every 2 years to keep your LLC in compliance and in good standing.

You can file your LLC’s Biennial Report by mail or online.

Filing Fee and Processing Times

The filing fee is $13. Since it’s filed electronically, your Biennial Report will be processed immediately.

Due Date

Your first Biennial Report is due between January 1st and April 1st of the first odd-numbered year, following the year in which your LLC was formed. After that, your Biennial Report must be filed every odd-numbered year going forward.

For example:

  • If your LLC was formed in 2015 or 2016, your first Biennial Report is due between January 1st and April 1st of 2017. The next one is due in 2019, and so on
  • If your LLC was formed in 2017 or 2018, your first Biennial Report is due between January 1st and April 1st of 2019. The next one is due in 2021, and so on

Penalty

If you miss the April 1st deadline, you still have the chance to submit your Biennial Report up until June 1st (the grace period). If you don’t, then your LLC will go into a “Delinquent” status and will soon be administratively revoked (the state doesn’t accept any Biennial Reports after June 1st).
